The offer is 52% above where Varonis shares closed on June 22, before reports of a possible sale first emerged. Thoma Bravo is providing the equity and has secured debt commitments, and Ontario Teachers' Pension Plan is investing in Proofpoint. The deal is expected to close in the first half of 2027, subject to shareholder and regulatory approval. Varonis will release Q3 results on November 3 and will not hold a call.
